Terms & Conditions of Sale
These Terms & Conditions apply to all quotations, orders, and sales made by Sparver (“the Company”) for the manufacture and supply of bespoke furniture and associated services.
By placing an order with us, the Client agrees to be bound by the following Terms & Conditions.
1. Definitions

“Company” refers to Sparver, including any affiliated workshops or agents.

“Client” means the individual, firm, or company ordering goods or services.

“Goods” refers to the furniture and any other items supplied under the agreement.

“Order” refers to the Client’s request to purchase Goods from the Company.
-
“Bespoke” refers to any product designed or made to the Client’s individual specifications or custom requirements.
2. Quotations & Pricing
-
All quotations are valid for 4 weeks from the date issued.
-
Unless otherwise specified, quotations are exclusive of VAT, delivery, and installation.

Prices are subject to revision in the event of cost changes in materials, labour, or other production inputs before acceptance.

A full breakdown of pricing (design, materials, labour, finish, delivery) can be provided upon request.
3. Orders & Specification
-
Orders are accepted only upon written confirmation and receipt of a 50% deposit.
-
Design drawings and specifications must be reviewed and approved by the Client in writing before production commences.
-
Any amendments after confirmation may incur an additional fee and extend lead time.

The Company reserves the right to make minor alterations to improve structural performance or longevity, where necessary.
4. Materials & Construction
-
All furniture is made using solid timber and traditional upholstery methods, including but not limited to jute webbing, coil springs, horsehair, hessian, and hand-stitched layers.

Timber is sourced from sustainable suppliers where possible. Variations in grain, colour, tone, and natural markings are inherent characteristics and will not be accepted as defects.

As each piece is handmade, minor dimensional or tonal variations may occur.
5. Upholstery & Customer Materials

Should the Client provide upholstery materials, these must be pre-approved by the Company for suitability.

The Company accepts no liability for flaws, shrinkage, or performance issues in customer-supplied fabrics or leathers.

The Company will store materials safely but does not accept responsibility for loss or damage once delivered to our premises.
6. Lead Times & Production
-
Estimated lead times are given in good faith and usually fall between 8–14 weeks, depending on complexity and workshop capacity.

Production lead time begins from the date of both deposit and final specification approval.
-
While every effort is made to meet deadlines, the Company cannot be held responsible for delays due to force majeure, supplier disruption, or unforeseen workshop limitations.
7. Delivery & Installation
-
Delivery charges are not included unless explicitly stated.
-
The Client is responsible for ensuring adequate access at the delivery address. Any special handling (e.g., hoists, window access) must be arranged in advance.

The Company accepts no liability for damage caused by access issues or unadvised handling.
-
Delivery dates will be confirmed closer to completion and must be flexible within reason.
8. Payment Terms
-
A 50% non-refundable deposit is required to secure the order and commence production.
-
The remaining 50% must be paid in full prior to delivery or collection.
-
Payment can be made by bank transfer or other approved methods. Title to the goods remains with the Company until payment is received in full.

Delayed payment may result in a hold on delivery or forfeiture of priority scheduling.
9. Cancellation, Returns & Refunds
-
Orders may be cancelled within 7 calendar days of confirmation with no penalty, provided production has not begun.
-
After this period, or once production begins, the deposit will be retained to cover costs.

Bespoke or custom-made items are non-refundable except where goods are found to be structurally defective.
-
Minor imperfections, wood variation, or hand-finished character will not constitute grounds for return or refund.
10. Storage & Delayed Delivery
-
Completed goods not collected or accepted for delivery within 14 days of notice may incur a storage charge.
-
Goods will be stored securely, but the Company is not liable for damage or deterioration resulting from extended storage periods.

If the Client delays final payment beyond 30 days of completion, the Company reserves the right to resell the goods to recover costs.
11. Guarantees & Care
-
Structural workmanship is guaranteed for 5 years under normal domestic use.
-
This guarantee excludes natural wear and tear, misuse, or failure to follow recommended care instructions.
-
Natural movement in timber, fabric fading, and compression of upholstery are expected over time and not covered.
-
Advice on product care and maintenance is available on request.
12. Intellectual Property

All designs, sketches, drawings, and specifications remain the intellectual property of the Company unless otherwise agreed in writing.

Reproduction or commercial use of any product design is prohibited without prior consent.
13. Limitation of Liability
-
The Company’s liability is strictly limited to the repair or replacement of defective items as judged reasonable.

The Company is not liable for indirect or consequential losses, including loss of profit or reputation.
-
Nothing in these Terms limits liability for death or injury caused by negligence.
14. Governing Law
-
These Terms and Conditions and any agreement formed are governed by the laws of England and Wales.

Any disputes will be subject to the exclusive jurisdiction of the English courts.
